Survey work is great but, if they want money for it, forget about it. The survey companies that are legitimate are good but virtually all free. Legitimate ways to make money online will not ask you for money to get the job. The only exception to this is for home businesses. Many home businesses require an upfront investment from you. If you decide that a home business is the best way to go for making money online, then you will probably have to spend some money to get started. However, many people have been very successful with home businesses.

Beware of web sites with businesses to sell that have lots of very powerful testimonials from satisfied users with their pictures plugged into the testimonials. Every experienced net worker knows that testimonials sell almost anything. The trick is that their networking friends give them lots of testimonials. These people are very talented and experienced, and can even make awful business opportunities work, but You are just beginning to learn so please don't blow your dough (money) till you are ready to handle the big tech problems that come with doing these ventures.

One way that people are making money online is by having several different income streams. This means that you do a bunch of things online that make a little bit of money, which turns out to be a reasonable amount of money when you add them all up. For instance, some people fill out surveys (see above), do some writing, read emails, sell things on Ebay or even do affiliate marketing. Hundreds of Billions of Private Equity dollars are trying to get off the sidelines and into the game. The single most important decision criterion is the quality of management. What makes an executive bankable to PE groups?

So much has already been said written about bankability that it's difficult to sort through the noise. Here, are four key criteria that cover most of the ground. If you stand up to these four tests, chances are excellent that investors will get behind you.

Track Record of P&L Success

As one PE partner recently told an executive, "We want you to earn, not learn on our watch." Without a doubt, this is the single most important factor. Do you have a track record of earning money in the same or a related industry? Have you run businesses of a similar size?

Nothing is as impressive as consistent growth of both revenue and earnings. However, most sophisticated investors understand that stuff happens. Bumps in the road are not necessarily an issue. You should be prepared to talk about them openly and show how you overcame them. One important note: the CEO title is not the key. Bottom line responsibility is everything. For example, the general manager of a $200MM division of a large corporation will usually be bankable to run a similarly sized company in the same industry. Whereas the CEO and owner of a $20MM company in the same industry may not be.

2. Leadership / People Skills

Are you a team builder? Have you demonstrated the talent to motivate and empower your subordinates? Do you have some key players who've worked with you before and would like to join you in a new venture?

Equally important, do the investors think that you'll be easy to work with at the board level? Will you take the time to understand their perspective and listen to their ideas? It's good for the entrepreneur to have a certain level of understanding of the business of operating a Private Equity fund. This will sensitize him/her to the partner's needs.

3. Desire to Build

Investors are looking for executives who thrive on the process of building a business and are willing to stay with it until a successful exit is achieved. A window of 5-7 years is normal. They become wary if they think that you're looking for a quick flip.

4. Skin in the Game

With very few exceptions, investors want the CEO to make a serious capital commitment to the venture. It is universally believed that this insures that your attention and motivation will remain focused. How much is serious? The answer varies but most PE firms would say that they know it when they see it. They don't need you to take out a second mortgage but they do want to know that the investment will represent a significant portion of your liquid net worth. A range of $250K - $1MM covers most cases. It's not uncommon for a PE group to offer to lend the executive money on attractive terms in order to increase the commitment.

And one More . . .

In many cases, the PE group identifies the opportunity and then searches out the executive. However, the best opportunities may be created by an executive who has located an opportunity and is seeking investors. In this case, the PE firm expects you to be able to explain and defend the investment thesis. This discussion will include market opportunity assessment, a plan for operating the business with appropriate financial projections and a discussion of potential exits.

If you're Bankable, you're Valuable

Executives who pass the bankability test are the rock stars of the Private Equity world. Understand your value and expect to be well compensated. However, don't focus too much on salary. The most important way to become wealthy in running a PE backed company is through incentive equity. Negotiate hard for a lot of upside at the time of the exit. If a PE group is achieving their IRR target for the investment, it's appropriate for upper management to share in the wealth in a big way. For example, if the PE fund can earn an IRR of 30% or more after granting management 15% of the equity, then everybody is a winner.

Too Many Employees to Make Any Money

Employees cost money. With high wages, insurance for them and the rising taxes and most importantly, with the drastically reduced reimbursement from insurance companies for services, one must keep the number of employees at the lowest possible level.

Or does one?

Only if you want to stay poor, despite being a doctor, and want to overwork yourself, have rarely time for family and if you want to worry about the money you are not making in case you do go on vacation. Only if you want a stressful life and want all life's enjoyments drained out of your life. Only if your premature aging means nothing to you Only if you are suicidal.

But if you want to realize the dreams you had when entering med school and opening your practice, then you better listen well to what I have to say.

What I say is not mainstream, but let's face it, mainstream management of any private health care professional means working till 100 because of lack of money.

It means worrying about making payroll and not enjoying the so needed and wanted vacations and then having to catch up with making money, bills and work when coming back.

Even if the situation described above is a bit milder for you personally, doctors are seldom coming close to their original dreams.

So what to do? Am I suggesting that even though you have payroll problems I want you to hire more?

You bet I am.

But never mind what I want you to do or any other guy wants you to do.

Just start looking at life and start really observing what is going on.

Newton did not invent the Law of Gravity - he only observed it. No more than I am asking you to observe that more employees opposed to less is the answer in most (probably all) cases.

People, and only people, have life in them. And only life can help you to get a life. No machinery and no medicine can keep people alive without people administering and controlling them. Hell, it was people who invented any machinery and any gadget, not machines.

People and only people is the answer.

Let me tell you an all too common money-draining situation in just about all practices.

There are enough people to service the existing patients. That is if all employees are at work, if nobody is sick or on vacation and if all employees are at their best.

All the above rarely happens. There always is an emergency of some kind, which requires extra work and other regular work has to be put off for a bit. There are many, many days of sickness amongst the employees, and people quitting or getting fired usually puts a hold on patients' service at least, if not also putting a stop on income producing activities such as treatment plan selling, delivering, billing, etc.

The stress and the lost money, which such a situation creates, is grave enough for it to be not ignored and to make some changes.

But what I have to say next should make you start to hire so fast, like there is no tomorrow. Because there really is no tomorrow if you don't - at least not the tomorrow you envisioned when opening your practice.

Even if there are enough people to serve all your patients well all the time, they only serve the patients you have.

What about getting more patients? Are you trying to get large numbers of new patients with a few flyers every so often, a yellow page ad, a recall system that reaches most patients only once a year, having lunch with a few doctors here and there?

If the creation of new patients and existing patients coming back is not handled with the same professionalism and the same tenacity as running the medical part of the practice, one will of course have continuous money problems.

So, even if you can hardly make payroll, hiring more employees, not less, usually is the solution.

Of course, the new employees must be treated as if they work for a completely different company - the marketing company.

If you simply hire more employees and put them into the practice, you can be assured that you will get no increase in production but only in payroll.

Even if you keep the new employees separate as a new company or at least a new division, then you still must know the fundamental basics of marketing which are as sound as the Law of Gravity.

You also must know how to organize and give orders, so that the job gets done. A few examples of a wrong order would be:

The target is $100,000 this month. Or Let's be friendly and professional. Or Let's work hard. Or Let's give it all. Or Let's ask for referrals. Or Let's get in some new patients.

Sound familiar? Gets nothing done. Not possible. Not executable.

Anyhow, where and how to market as well as how to get the job done by giving executable orders is too long for this issue and is available in several different directives I have written.

Hmm, perhaps, I have just asked you to forget everything you have ever learned about practice management and to defy the basic standing order of a penny saved is a penny earned. A penny saved is NOT a penny earned - it well could be $10 dollars lost.

And if I have talked no sense then keep in mind that all the sensible management advice from all those experts has made just about all doctors work harder and harder with less and less income.

So, the choice is yours: Do what is taught by all the authorities and do what all docs do, and be overworked and broke - or take a deep breath and do what I asked you to do. Be normal, and get what is normal (stress and little money) or be un-normal and get what those people usually get: Amazon.com success, Starbucks popularity, or having 3-6 practices with 20 doctors working in it and all the time in the world to spend the gargantuan monies you will make despite not being in the practice.

When you sign-up for an affiliate program, you are simply making an agreement with the owner of a product or service that you will earn a commission in exchange for referring a prospect to that person's product (usually a sales page that you have sent the prospect to via your unique affiliate link) if that prospect ultimately makes a purchase.

Begin by selecting a product or service that interests you and then visit some of the websites that have achieved top rankings for the keywords that best describe that topic. You're certain to find the top affiliate programs for that niche or industry relatively quick. Or, try visiting one of the many affiliate program directories (you can find them easily enough on Google) and scan their listings and recommendations until you find something that you believe will work for you.

This is a good Internet marketing solution for newbies since you don't even need your own website to get started. You will, however, need to learn how to use a variety of traffic generating strategies, both free and paid, so you can get some targeted traffic to your affiliate link. Once you start generating some income from these sources, you can then start reinvesting some of your profits and get yourself set up with your own website. By that time the concept of getting set up with your own website won't seem so daunting.

Join a Recurring Income Program

Recurring income programs are somewhat comparable to affiliate programs in that you typically get paid for referring a prospect to the program's website if that prospect follows through and makes a purchase. However, the difference exists in the fact that with these programs, you also have the opportunity to earn a monthly recurring income if the prospect you refer becomes a paying member of the recurring income opportunity program. For example, I join one of these programs myself. If a prospect comes to my website and clicks on a link which takes them to the sales page for the product or service that I am promoting, and they buy, then I get a commission. However, if that prospect also decides to become a member of the recurring income opportunity program, then I get a check every month as long as that prospect remains a paying member of that program.

People tend to be cynical of these programs and get them confused with pyramid schemes. The way to tell if one of these programs is a pyramid scheme is to simply verify if the company in question offers a real, legitimate product or service. If so, it cannot be classified as a pyramid scheme and you should be okay. Don't be frightened away by the fact that you will most likely have to pay a monthly fee to participate in the recurring income opportunity. If you can build a downstream revenue source for yourself in one of these programs, the monthly fee will be insignificant compared to the probable recurring income you could earn. Many of these programs will provide you with your own ready-to-run website, which is okay if you are just getting started. Some, like one of the opportunities that I offer on my websites, not only provide the ready-to-run website and hosting, but also all the products you need to sell AND the ability to edit and customize the site to your liking. Again, use the various traffic generating strategies to start generating some traffic and then work on getting your site customized and personalized so you can start to build your own opt-in list.

Sell a Hard Good or Downloadable Info Product

Alright, I know this one doesn't sound as simple and easy as you had hoped, but to be honest, it truly not as hard as it might seem. Selling a hard good involves offering a real physical product (like custom car accessories, for instance) for sale in your own online retail store. If this idea really appeals to you, go for it. Brainstorm some products you would enjoy selling, then do some keyword research in Wordtracker to build a targeted niche within that market (hot rod parts?).

Then, you can use a drop ship source directory or the search engines to find suppliers or distributors who will drop ship the product for you (meaning they ship it directly to the customer and you don't have to carry any inventory). Then go to EBay or Yahoo and sign up for one of their stores. They'll even provide you with a shopping cart feature and help you get set up with a PayPal account (so that you can accept credit cards). Additionally, you'll get some built-in traffic since millions of people are using their shopping directory to search for products every day.

As far as the website is concerned, not to worry. Most hosting providers today have some type of site building solution available for those customers who don't know html code from java script. Believe me friends, I have seen technically useless and HTML challenged technophobes do this, so YOU can, too.

Now, regarding the info product of which we were speaking. By the way, I mean YOUR OWN info product. Everyone on the web and their mother will tell you that this is the best way to make the really big bucks online. Write about something you know and/or in which you have a deep interest. The topic of internet marketing seems to have been way overdone. Unless, of course, you are a true subject matter expert on some niche within internet marketing, then definitely do it. But please, don't do it just because everyone else is.

As for the actual writing, you don't even have to do that if you really don't want to. You can check out a site like elance.com and post your project and have writers bid on completing the project for you! And there are so many easy to use PDF ebook creators available that formatting the book should pose no technical challenge whatsoever. I offer several that you can read about on my websites. Set up a simple, little one page sales website with a link for payment processing, optimize the site for the search engines, implement several forms of advertising (free and paid), find some JV partners, and you're in the money! Now, just to be fair and honest, you probably won't attract too many JV partners until you have something to offer in return, i.e. a big, paying list of customers.

By the way, I know of some guys who have about 10 or 15 of these little mini sites set up selling simple reports on niche topics and raking in an average of $2,000 a month from each site. And they're incredibly easy to set up and practically run on autopilot once you do!

Well, there you have it. Just a few relatively simple ways to get you started on your way mining YOUR share of the internet gold mine!

Buying Your First Company

As a professional M&A intermediary I am amazed when I hear others in my profession at industry meetings proclaim, "I don't work with individual buyers." They put it out there almost like a badge of honor or an indication of reaching a higher level of professionalism. My first reaction is, shame on you.

My second reaction is, how short sighted. My third reaction is to understand why and to advise buyers on the preparation necessary to gain credibility, traction, and support from a qualified business broker or M&A Professional. The purpose of this article is to give the first time buyer some action items to complete before they approach a M&A professional to improve the likelihood of garnering professional support.

First of all, please recognize that there is tremendous competition at the Main Street Level (transaction value under $1 Million) for business acquisition. This phenomenon is the result of down sizing and early retirement of mid level and senior executives in their forties and fifties. These people have exited with a war chest of a half million dollars and have vowed to never again be a victim of a corporate restructuring. They want to control their destiny, run their own show, buy and run a business. Most of these people are looking to buy a job.

You and 10 million other buyers: I am looking to buy a niche manufacturer or distributor with $3 to $10 million in revenue and $500 K to $1.5 Million EBITDA and I don't want to pay more than a 3.5X multiple. I have about $350 K of my own to put into the deal and I have investors lined up for another $1.5 to $2 Million. Pleeeeeeese! Do me a favor. When you have a first meeting with an intermediary and you deliver this message, make sure you are on the first floor. I hate to see my colleagues leaping from tall buildings.

Do your Homework: There are several things you can do to improve your chances of getting and keeping the attention of a broker.

1. Be Specific. In the example above, the category was so broad that you come across as being not focused, not prepared, and wishy-washy. Translation - this guy is a long way away from pulling the trigger. Your best bet in getting support from investors, friends and family, and bankers is to purchase the business you were employed by or a very close competitor. Specific industry experience improves the potential of the acquired company surviving and servicing debt.

Pick out a sample company of the size range and industry you are targeting and present that as an example of what you would like to acquire. Take it a step further and be prepared to articulate your area of expertise and how you would apply that to make this sample business perform at an improved level. This should be a one to two page summary document. Now that's focus.

2. Funding Preparation. Know exactly what you can put down on the business. If you are not prepared to supply your broker personal financial statements, you probably will not get any help. Go and have the specific discussions with the friends and family (take your sample business and your performance improvement plan). Present your expected returns/equity percentages and ask them what they are willing to commit.

A signed letter from these folks describing their backing is a very powerful attention grabber. Do not assume anything. Know your support level before you and everyone else does all the work to find a qualified acquisition candidate only to find out your investors did not materialize.

3. You are selling yourself. In a sense you are interviewing for a job. Bring the materials that support why you are qualified for the job. A resume is essential and written references are good to have. Remember, most of these transactions will require the former business owner to carry a seller note. They want to understand exactly to whom they are lending and the risks associated with servicing this debt.

4. Realistic expectations. A good business for sale will not be purchased at financial buyer pricing multiples. An attractive business - i.e. one that has a high growth rate or, proprietary technology, barriers to entry, contractually committed recurring revenue streams, blue chip customers, brand recognition, high gross margins or a combination of these will command pricing that is above a strict discounted cash flow multiple. The market will recognize some strategic pricing component and the company will get visibility from strategic buyers.

Even Private Equity Groups that are assumed to be strict financial buyers, do factor in pricing considerations that might reflect ownership of a portfolio company in the same market space. The better the business, the greater the universe of buyers. The good news is that a company that has attractive characteristics, but is small (below $5 Million in sales) probably will not interest the Private Equity Groups.

5. Network Network Network. A great way to improve your chances of successfully purchasing a business at a good price is to have an entree into a business that is not formally for sale. What I mean when I say that the business is not formally for sale is that the owner has decided that he wants to exit and has shared that information with a few close advisors, but has not engaged the services of an M&A firm or advertised on one of the popular Business for Sale Web Sites.

Put the word out to your network of professionals, industry sources, trade associations, vendors and suppliers, etc. Utilize the same preparation as described above and hand out your materials. Your banker, your lawyer, your financial planner and all of their associates are great sources of businesses for sale. Remember, if you do not establish your credibility with them in your preparation, they will not risk their credibility with another client through an ill-advised introduction. The good news from this approach is that you may be able to purchase a good business at a bidder of one price without price pressure from other buyers. If that seller's trusted advisor brings you in, the chances of this happening improve significantly.

6. How serious are you? Lots of individual buyers will pay a broker or intermediary a success fee based on a percentage of the purchase price. The most serious buyers, however, pay buy side engagement fees as well. This is a fee usually ranging from $2,000 to $7,500 per month paid to the M&A professional to formally search for you outside of the networking only approach they would take for no engagement fees. Corporations in acquisition mode almost always operate this way.

The benefit to this approach is that the intermediary will expand the universe of candidates to those companies that fit your buying criteria that are not for sale. It is a lot of work to compile databases and try to break through the difficult barriers to reach an owner that was not contemplating a sale and convincing him to entertain this process. Our objective is to buy his company as the only competitor. If we can do that, the transaction price will generally be 20% below a business that is formally for sale, represented by a professional, and getting many interested buyers. Saving you $1 Million on the purchase of a $5 Million business certainly will justify any monthly fees and success fees an M&A professional would charge.

The corollary to this is if you are a business seller, and you do not engage a professional, you most likely will leave that 20% premium on the table.

Most individual buyers are engaged in the buying process with either no current income or very limited consulting income. In other words, buying a business is their full time job. While one operates in buying mode, they are working for no income. The longer that buying process takes, the greater the erosion of their financial resources. It is in the buyer's interest to not only purchase the right business at the right price, but to compress the amount of time it takes to complete the process. Implementing one or several of these recommendations should help you buy smarter and faster.

He has been obnoxious and manipulative, not even breaking a sweat to get your hard earned $50.

You, as a franchise owner, then pay that company a percentage of your gross profits, so that you may continue to use their name and sell their products.

The most famous example of a franchise, of course, is McDonald's. Most franchises that require a "store front" (the purchase of a building from which to do business) typically come with an investment from a few hundred thousand dollars, up to millions. Most franchise operations will also require you to work 24/7 in order to be successful, and you will probably not make back your initial investment for a number of years.

The other main avenue of self generated income before the internet was known as "Multi Level Marketing," known as MLM. Most of us have been approached, at one time or another, by friends or family who are involved in this type of business. This is basically where you build a "network" of sales people and customers, in order to create residual income.

You get paid for the efforts of salespeople who are on other "levels" of your network. The more sales people you recruit, the higher you climb on the marketing plan, and the more money you make. This is provided, however, that your recruits produce sales. Payments are generally made based on a sliding percentage scale, in combination with revenue from your product sales. Most of us have grown very weary of MLM, as you must continually recruit sales people, have meetings, find new customers, etc.

You also must convince people why your product is worth them spending their hard earned dollars on. Although there are many success stories from the world of MLM, I have personally never had luck with it. My lack of success was certainly not from lack of trying, however!

Then along came the internet. And with the internet came the new concept of "e-commerce." This is simply taking advantage of the fact that you have a world-wide audience for your products and services.

People began to realize that you could market information, as well as products, via the internet and make a very substantial living. Learning how to be successful at internet marketing, however, requires a lot of time, patience, and skill, in order for your efforts not to get lost on the "information super-highway."

So what is the answer to making realistic money with a home based business? I believe starting a service business is the absolute best alternative. This is simply a business where you perform a task, or "service" for a client, and in turn get paid for your services.

Some examples of easy, profitable service businesses are house painting, residential and commercial cleaning services, lawn and landscape care, and carpet cleaning. The average person can start a home based service business with a relatively low investment, follow a simple proven business plan, and turn a profit in a very short period of time.

Anyone can start a service business. It does not require any special training or school, and does not require you to buy into a franchise. While there are franchise opportunities available in the service business arena, there are also plenty of opportunities which offer a "business in a box," with no further financial oblogation to the company from which you bought the business. These non-franchise offers are typically every bit as thorough and profitable as the larger franchise opportunities, but with much less of a financial commitment.

With most American families chosing to have double incomes, most people do not have time to take care of the daily "chores" of life, like house cleaning, carpet cleaning, and lawn care. The demand for these services continues to skyrocket. Most working professionals will gladly pay a reputable company to perform these services for them, so that they can spend what free time they have doing other things.

There are a number of quality service business opportunity packages available, which require an initial investment of just a few thousand dollars, and have no franchise obligations attached. If you purchase a quality start-up package, you will be able to follow a proven business plan, and should be able to make back your initial investment in a very short period of time. Are you sick and tired of all the great do-nothing-and-become-rich opportunities? If you are anything like me, then you probably are. I am just so tired of people emailing me with the next hot opportunity, where you literally don't need to do anything to earn a great income. Well and if I decide to take a closer look what it is all about, its just another MLM scheme.

Now don't get me wrong, I have nothing against MLM but I have something against people who say that I don't need to do anything to make money. That's just a lie and how could you ever work with a person who lied to you since the day you have met them?

Being so tired of all this, I decided to look for online opportunities that really required no work and I have stumbled over one last year. Since them I have earned great money with these opportunities and so can you and it really doesn't require any real work besides doing some due diligence.

So what are these opportunities? They are called HYIPs. Maybe you have never heard of HYIPs, so I will give you a short introduction:

HYIP stands for High Yield Investment Program and I think that says it all. Basically these HYIPs are investment opportunities which promise really high returns. Returns that are sometimes much greater than 20 percent monthly interest. Yes, you have read correctly. I said 20 percent per month or even more. Now when you just start to dive into the HYIP industry, you will shortly realize that many programs offer interests that are even higher than 20 percent. Some programs offer 100 percent per day or similar ridiculous returns. If you have read that far, you might think this all must be a scam right?

Well, you are right but not completely. Honestly the number of scams is huge in this industry and I would say it´s about 99 percent but what about the other 1 percent?

Those are real investment opportunities. Opportunities that provide the chance to invest in a fund that is day-traded in various markets, mostly the forex (foreign currency exchange) but also commodities, futures or stocks. The foreign currency exchange market can be one of the most lucrative markets to trade but also one of the most dangerous because of the high volatility and access to high leverage of trading equity.

Never the less good traders can achieve 20 percent or more monthly returns when trading the forex. Apart from the opinion of many investment experts this can also be done on a consistent basis, which does not mean that you will always achieve a 20 percent interest but there are programs out there that produce an average of 20 percent per month over the course of a couple of years.

How can you know that the HYIP you have chosen really does trade? Well, you can´t or at least that´s very hard to find out. Some legitimate HYIPs let well-known people from the HYIP industry take a look at their live trading accounts and I had the privilege to analyze some myself. Other than that there is not much proof so what do you do?

I personally favor managed accounts. Managed accounts are a little bit higher investments, starting from USD 5000 but they are well worth it for two reasons.

1.) Nobody can steal your money so it's a no-fraud-opportunity and 2.) You can check your daily performance because you have live access to your account with the brokerage.

Now do some calculation on your own what a 5, 10 or 20 percent monthly interest could mean to you. I will give you an example: If you invest 1000 USD today and let it compound for 2 years with an average of 15 percent monthly interest, you will end up with over 28,000 USD or a monthly income of 4300 USD. Now I don't know how much you need to live but that is a nice residual income, which might pay some of your bills. Always remember, be careful where you invest and if you can afford it, go for managed accounts.

Only 26 states have such statutes to protect the franchisees.

1 Antecedents of the Licensor: Find out all you can about the firm in question, its affiliates, its marketing strategies, any past or pending litigation, and any reports of financial irregularities.

2 Franchisee Requirements: If you are a franchisee, or are going to fund a business venture, then you need to know what is expected from you, in terms of finances, training, and infrastructure. The document should state exactly what you are expected to do as part of the business venture. This can be whether you are just supposed to lend your name to the business, whether you are to run the venture, or whether you can run the business through a third party.

3 Financial Statement: The firm is obliged to give you a detailed report of its finances, after being audited by a CPA. 4 Licensee Equipment: You need to know what the company will provide you with so you can run your business venture successfully. Infrastructure, equipment, training, books, as well as the use of registered names and logos must be carefully discussed.

Don't be taken in by clever marketing gimmicks. If the business firm proposes to make you rich overnight, then go through the disclosure statement very carefully. Make sure there are no hidden costs. Whatever you have to pay should be stated plainly on paper. Following these precautions, you can avoid being cheated by unethical business firms, and start your own successful business venture. Will you choose to be successful today? Success is a choice you can make. Do you believe that statement? If you do not then you have chosen (yes chosen) a different route and success may not come to you! Success is about choosing what you want in life and taking the necessary steps to achieve that goal. Success is not stopping until you get there!

Read the last two sentences again. Easy to say but how do you get there? What are the choices made by the successful? What are they doing differently from everyone else?

Choose to remove whatever is holding you back. Has something happened in the past to affect your self esteem? Do you immediately have negative thoughts as soon as money and success come to mind? If you are not choosing success then it is likely that something is blocking your ability to change and follow a new path. To remove the block you must have focus. To have focus you must first have an all consuming dream of where you want to be. Only when you have defined that dream can you start to focus on it. Focus so intently that everything you do is done with your dream in mind. Only then can you move toward that dream.

Choose to live your success. Live your life as if you were successful, as if you had already achieved the goal that you are focusing on. When you are at work, visualize what your workplace will be like when you have reached your goal, and place yourself there. Sit at your desk as if you were running the multimillion dollar business that you are focusing on. When you get into your car, visualize what your dream car will be like and see yourself sitting in it. Visualize yourself driving away from your dream house. When you are in your home - look around it and see your new surroundings. Get inside the feeling - really be there.

The more you do this, the more your subconscious will think that you are successful and move you towards these things. Live your success expecting to realize it. Living it now is a practice run for when it comes to you. After all, you want to be prepared, don't you?

Choose to believe in your success. What your conscious mind believes, your subconscious strives to achieve. Look around at your friends and acquaintances and ask yourself how many of them have unshakable belief in where they are going. Are they successful? Possibly not - they may be in a good job and have a nice life but they do not have the success factor. Perhaps you do know of someone with unshakable belief. They may not be successful now but they will be moving in the right direction. Watch that space....

Belief is the catalyst which takes the dream and turns the focus into a plan to get there. Never underestimate the power of belief.

Choose to be emotional about your success. Belief plus emotion are unstoppable. If you have utter belief then you will develop emotion. If you want something badly enough it is emotive. Maybe it is to get out of debt. If you have suffered the hardships of this situation you will feel everything to do with debt and money is charged with emotion. This is the reason behind so many 'rags to riches' stories. Sometimes only the most devastating of emotional circumstances are the catalyst for change and a move toward success instead of away from it.

You can choose success. Or you can choose to stay safe and do what you do now. Guess what - you will still be doing the same in ten years time. The question is - do you want to?

Corporate America is missing a HUGE opportunity! Most
companies, regardless of the improved economy, are still
searching for ways to reduce their costs and become more
competitive.

Many companies have outsourced several functions to reduce
costs. Of course, the most obvious outsourcing activity has
been the customer relations call centers. How many of us have tried to call a customer service number only to find that we have difficulty understanding the person at the other end of the line.

Now, here's the opportunity that has been wasted. The largest customer for most of our Fortune 1000 companies is the Federal Government. Ask any of them and they will tell you that each one offers their "most favored" pricing to the Government.

Even when jobs were scarce, many companies still recruited
skilled sales people who knew how to sell to the government.

Many of those job requisitions preferred a military background. Of course, most of those same companies have Veterans on their payroll, yet they overlook the obvious.

Now, for the "profound" mistake made by all of those companies: They should "outsource" their Veterans!

Here's why:

·The Federal Government currently sets aside 3% of its annual contracting budget to be spent with "Veteran-owned" companies.

·That measly 3% equals $9 Billion a year in lost revenue to the Fortune 1000. It gets even worse because the Fortune 1000 companies are also given incentives to spend 3% of their revenues with Veteran-owned businesses. Most companies try to achieve that goal by searching for Veteran-owned sub-contractors. That adds up to a total of $84 Billion per year that the government wants to spend with Veterans.

·Currently, the government is considering legislation that will
increase the percentage of their contracting budget to 9% that
will be spent with Veterans.

·That will be $27 Billion a year that the Fortune 1000
companies won't be able to get their hands on. When you add in the 9% of the Fortune company "targets", the amount increases to a staggering $252 Billion every year!

Now, how can the Fortune 1000 companies capitalize on these
facts? Easy! Outsource their Veterans!

What do I mean by that? I suggest they "spin off" their
Veterans into a company that is at least 51% owned by Veterans.

The Fortune companies can still be a "minority" investor and in fact, should make that kind of investment to ensure there is
enough capital to make the "spin off" successful.

The Veterans already know the product. They know the company processes for ordering and servicing the product.

More importantly, many of them know the government process for ordering and purchasing!

Now, the Fortune company would have a business that they could supply product to which is qualified to aggressively bid for the $252 Billion of business that they couldn't bid on before. Let the Veteran-owned business become a distributor for their products and let them sell direct to the government!

Everybody wins in this situation.

·The Fortune companies further reduce headcount and associated costs.

·The Veterans can take advantage of their benefits to build a
company that can make them wealthy.

·The "spun off" company can be well capitalized, yet still
owned by a majority of Veterans.

·The Veteran-owned business gets an automatic "preference" from the Government.

·The Veteran-owned company can operate profitably.

·The Fortune 1000 company generates more revenue.

·The Veteran business can actually expand the market for the
Fortune business products by selling to others in addition to
the government.

When you start putting a sharp pencil to the opportunity, you
could actually grow our entire economy much faster by simply
"outsourcing" one of your most valuable assets, your Veterans!

Is the industry dominated by a few big players? How are U.S. companies doing in the global market? Take the time to do the research on the industry. This will also help you gain credibility with prospective sellers while enhancing your own knowledge base.

2. Opportunities What is your plan to grow the business? You should include both top and bottom line growth in your discussion. Are you looking for a troubled company where you can create value or a company that's already on a fast growth trajectory? Do you foresee additional acquisitions? If so, what are the attributes of the prospective add-on companies. What will the business look like as your plan moves forward?

3. Threats What are the risks that could impact the future success of the business? Is offshore manufacturing a factor? If not, why not? If so, what's your plan to deal with it?

4. Exit Strategy If you contemplate seeking investment capital from a PE Group having thought about and being able to articulate an exit strategy is very important. Who are the likely buyers? Are there examples of recent transactions that support your plan? What will you need to accomplish before the company is ready to exit? How long do you think it will take?

5. Leadership How do your skills and prior experience qualify you to execute the strategy? Do you have a track record of success in the same industry? If not, you should be prepared to show how your prior experiences prepared you for the particular challenges involved in operating this business?

Once you've developed your plan, test it out. You may want to start with professional colleagues such as your attorney, accountant etc. The more knowledgeable that your audience is and the more willing they are to question your assumptions, the better. The people who give you the most critical feedback are doing you the greatest service.

When you present to potential investors or lenders, expect some tough challenges. Try not to be defensive. Instead, learn from their concerns and refine your presentation for the next time. Business plans typically improve with multiple iterations.

Essentially your strategy will become the roadmap for your acquisition campaign. It will serve you well at every stage. You can use it to help locate companies, seek investors and lenders, assess the value of companies and structure the deal. Most importantly, as you get caught up in the heat of the chase, it will help you to assess whether the deal that you're working on is really going to be right for you.

Your resume, not your checkbook, should determine what size business you can own and operate. A case study approach will explain how to buy a much bigger company than you can finance on your own.

You've been very successful managing a company or division with full P&L responsibility and produced millions of dollars of profits. You've been well compensated and put some capital together. You're intrigued with the idea of becoming a business owner. You like the idea of being captain of your own ship and also want to create wealth for yourself and your family.

What kind and size of business should you buy? The best answer may be; the same size business you've been running for others. If you've been running a $200 Million dollar division, operating a very small company, may not be what you can do best or enjoy the most. But is it possible to buy a $200 Million dollar business when you've got a million dollars or less of your own to invest?

Very often, you can. Professional investors are very enthusiastic about backing a CEO with the right industry experience; especially if you're prepared to invest your own capital along with theirs. Furthermore the ownership that they'll allow you to earn by operating the business profitably will typically be much greater than the equity which you buy at the outset.

Let's consider an example. Carol is a division VP of a large manufacturing company. She has been involved in her industry for over 15 years. The division which she operates generates revenues of $230 million and contributes $30 million to the pre-tax profits of the corporation. Carol has built a war chest of $800,000 with which she would like to make an acquisition.

Through her industry network, Carol learns that the owner of one another company in the same industry, Valence Inc, is planning to retire and wants to sell the business. She knows the company and is confident that she could operate and grow it successfully. Valence has revenues of $165 million and pre-tax profit of $12 million. She believes that at the helm of Valence, she could increase both revenue and profit margins.

Carol contacts the owner of Valence, Doug Miller and learns that he has no heirs in the business. While the current management team is willing to stay on, Doug doesn't believe that any of them is ready to run the business. Doug has hired an investment banking firm who is preparing to put Valence on the market.

Carol remembers attending a seminar put on by Capital Results which specializes in working with entrepreneurial business buyers. After some initial meetings, Carol hires Capital Results to help her acquire the company. Capital Results will locate the investors and will also negotiate on Carol's behalf to maximize her opportunity in the deal.

Capital Results introduces Carol to several PE groups which have the potential to match up with Carol's interest. Carol is surprised to learn that there are hundreds of funds with a combined investment capacity measured in hundreds of billions of dollars. CR chooses a few funds whose interests correspond with Carol and the Valence deal based on industry, geography, deal size and several other considerations. Carol feels very comfortable with RMW Capital Partners. RMW understands the industry and Carol likes their approach. RMW appears enthusiastic about Carol's experience and her plan for Valence. Carol and RMW notify Doug's investment banker that they want to look at the company.

Valence's performance has been reasonably steady for the last few years. EBITDA for the previous year was $15 Million. Carol and Valence know that companies like Valence have been selling lately for five times EBITDA. They expect the other bidders to come in at around $75 MM. Carol is very confident that she can quickly improve Valence's profitability by $2MM by removing some inefficiencies. She is also confident that she can grow the business by at least 8% each year. Based on these projections, the partners at RMW are confident that they can afford to bid $80MM. This becomes the winning bid.

Carol and her new partners have extensively modeled the projected future performance. Based on their calculations, they want to borrow 60% of the purchase price and invest 40% as equity capital. Therefore, the equity required for the acquisition is $32MM. Carol's $800K represents 2.5%. The remainder is purchased by RMW. $40MM in debt financing will be provided by Junior and Senior lenders. Mr. Miller is taking a note for $8MM. The debt will be paid off using the profits of the company over a four year period.

RMW sets up an option pool whereby Carol and certain key managers can acquire up to 15% of the equity in the company at the same price being paid to Mr. Miller. Carol as CEO will get 60% of these options. Carol gets a salary and bonus package which is about 95% of what she was making in her old job. She is willing to defer some income in order to create wealth down the road.

Carol and her team make their numbers. They improve profit margins and grow the company by 8% per year. EBITDA was 9% of profits during Mr. Miller's last year. Carol improves this margin to 12%. There are enough profits to pay off all the debt in four years, so at the end of that period, the company is effectively debt free. At the end of 5 years, EBITDA is 29 million on sales of $242 million.

A strategic buyer offers to purchase Valance for 5 times EBITDA or $145 million. The bank debt has been paid off so while the price of the company has almost doubled, the value of the equity has gone up 450%.

Carol's 2.5% is now worth $3.6 MM. She exercises her options to acquire 9% of the company (60% of the 15% option pool). The options cost her about 2.9MM and are worth over $13MM. Carol's makes over $10MM on her options.

It's very important to note that while the gain on Carol's initial investment was excellent, the great majority of her gain came from the options. This is quite typical. Investors want to see the top executive investing their own money as proof of their commitment to and belief in the business. However they are willing to allow the executive to earn considerably more by achieving results. It's also worth noting that a few percentage points of cost reduction and 8% revenue growth result in a great return for the investors as well. After giving management the option pool, the investors receive better that a 40% ROI on their investment.

While lying on a sunny beach, a few months after the closing, Carol muses that she could have achieved similar results for her old employer. She would have been well paid in salary and bonuses. She might have put away another million or so by now. Then she laughs and rolls over to get some sun on the other side.

The numbers used in this case study are quite realistic for situations of this type. The real value is created by Carol's ability to grow the business steadily while improving profitability. Her skills are a perfect match with the Leveraged Buyout (LBO) scenario illustrated here.

Carol had the courage to leave the corporate nest and become an entrepreneur. She found the right advisor and the right partners to help her realize her goals. Finally, she kept her eye on the ball until the exit was achieved.

Generating excess traffic to your website is the key being successful online. In truth and honesty, I can say that this is my no1 method of diverting free traffic to my site. When done, post your article to article distribution sites, and also email groups. To see traffic from this method, it is important that you repeat the process continuously.

3. Buying and Writing Ezine Ads. This is the method which is not free. However, this paid method of advertising works efficiently, because it is the most specifically targeted method of all three. Start by writing a good ad for your business, and link to your auto responder or directly to your site. The next step is to contact Ezines to place your ad. If you do a search for "ezine directories," you will find enough lists to keep you busy for a long time. Once contacted, look for rates for both classified ads and solo ads. Solo ads are usually more effective because they out in a separate email, but for this reason they are more expensive. So make sure that you choose the right ezines which relate to your business and do not advertise in an unrelated ezine. Once this is done, you will need to track your results to see which ezines bring you the most and best traffic in order to repeat the process with different ads.

A relationship between an executive and a private equity group is likely to last for 5 years or more. The success of the relationship will be worth millions to both parties. It's therefore quite important to exercise care in selecting the right partner. For their part, PE groups are very diligent in checking out executives. Executives are often, not as careful.

There are several different circumstances in which an executive may need to choose a PE group. The most common are:

- You're selling all or part of your business to a PE group but will be staying involved.

- You're planning to buy a business and need additional equity financing

- You're being recruited by a PE firm to run a firm which they own.

The common factor is the need to better understand the compatibility of the PE fund with your plans and your management style. We can start with some pretty obvious selection criteria:

- Fund size. If the fund is too small, they won't have the capital to support your objectives. If the fund is too large, they won't be willing to commit the time to your deal. First determine how much additional equity capital will be needed for your plan, including add-on acquisitions. If the PE's total fund size is 8-12 times your equity requirement, there's a likely good fit.

- Geography. Some funds tend to invest in certain regions. You may not be interested in relocating. Make sure your geographic interests align.

- Vertical focus. Many funds focus on particular industries in which they have knowledge, expertise and networks. It's generally a good idea to work with an investor who understands the general space in which you'll be operating. Realistically, the fund may not have prior experience with every narrow vertical but look for similarity of experience. For example, you're planning to buy a wholesale distributor who sells to manufacturers. You may find PE funds with similar companies in other industries.

There are also a number of less obvious but equally important criteria to evaluate in considering a PE fund.

- Source of Funds. Most PE funds raise there money from pension and endowment funds, insurance companies and other capital rich institutions. They typically have a finite fund life and seek to return capital to the investors so that they will be able to raise more money. As a result, they will want to exit their investments within 5-7 years of getting in. This may not be a problem for you. But it's important to understand how your interests will align. If you are interested in a longer run, there are some PE funds whose capital comes from high net worth families. These funds are usually willing to stay in a business for a much longer period if it's generating good cash flows.

- Consolidation Strategy. PE firms differ to a remarkable degree in their approach to additional acquisitions for a platform company. Some view an acquisition strategy as a key component of a growth plan. Others want to focus to a much greater extent on organic growth. It's key to align with a fund that shares your perspective on this critical issue.

- Degree of Operational Involvement. How much help do you want? Every PE fund will sit on the board and have a healthy interest in results. They'll also participate heavily in your add-on acquisition activities. Beyond that, the level of involvement will differ. How often do they meet with their executives? What kinds of issues are discussed on a regular basis? Which decisions will they expect you to discuss before executing? It's important to have lots of conversations about these issues and also to check with their existing portfolio CEO's.

- Value Add. What capabilities and services does the fund have to support its portfolio companies? Some PE funds have successful operating executives who are available to consult with their CEO's. Others look for ways to leverage the buying power of their entire portfolio to acquire commercial services at attractive rates. These services can include everything from employee benefit plans to discounts on office supplies or shipping.

In addition to all of the factors described above, you'll want to give a lot of weight to chemistry. Mutual respect, compatible styles and the sense that you enjoy working together will go a long way when the inevitable bumps in the road occur. The firm's responsiveness and attentiveness to you during the process of getting to know each other is a very good indication.

Last but not least, is the fund prepared to reward you, the CEO adequately for achieving a great return for them? The single most important component of this is the opportunity to earn equity for achieving results.
